Terms of Service

These Terms govern use of KopiDesk, a business operations platform operated by NexKoins Pte Ltd (Singapore). By creating a business or staff account, you agree to these Terms.

1. The service

KopiDesk brings a business's WhatsApp conversations, website enquiries, appointments, tasks and (where enabled) back-office operations into one place for its staff. KopiDesk is currently in piloting, onboarded directly by NexKoins rather than fully self-serve — features and pricing may change as it matures.

A business ("tenant") is the account holder; staff are added to it with specific permissions set by the business owner. The business owner is responsible for who they grant access to and for that access being used appropriately. You must provide accurate information and use KopiDesk only for lawful business purposes.

Connecting Google Calendar is optional and per staff member, done through Google's own OAuth consent flow. A staff member can disconnect at any time from Settings, which revokes and deletes the stored access token.

Paid plans are a monthly or annual plan fee that includes a set number of billable seats, plus a per-seat fee for each one beyond that. A billable seat is an account with access beyond its own schedule, timesheet and tasks; staff accounts limited to those are free and unlimited. Unless stated otherwise, fees are non-refundable except where required by law.

Subscriptions renew automatically. A monthly plan renews every month and an annual plan every year, on the same date, at the price shown when you subscribed, until you cancel. You may cancel at any time from the Billing screen; access continues to the end of the period already paid for and is not pro-rated. We will tell you by email before any price change takes effect, and you may cancel before it does.

Usage-based charges. WhatsApp broadcast messages are charged by Meta per message. We pass that charge through at cost, with nothing added, on your next invoice. The estimated cost is shown before any broadcast is sent, and nothing is charged if you never send one.

7. Service availability

KopiDesk is in active development. We do not currently guarantee a specific uptime, and features may change, be added, or be removed as the product develops. We'll do our best to communicate material changes to onboarded businesses.

7. Reports and files we deliver

Where your plan or your build includes reports, we deliver them by the routes agreed with you, which may include email, Telegram or a download link. Delivery is subject to the limits of the service used — messaging platforms and email providers each cap attachment size, and a report containing many photographs can exceed them. Where a file is too large for the agreed route, we will deliver it by another reasonable means, normally a download link, and tell you.

7a. Your content

Documents, notes, messages, images and other material you or your staff put into KopiDesk remain yours. You grant NexKoins only the permission needed to run the service for you: to store that material, to show it to the people in your business who have access, to back it up, and to process it as your instructions and these Terms require. We do not use it to train models, and we do not sell it or share it with other businesses on KopiDesk.

You are responsible for what you upload. You confirm you have the right to it, and that it does not infringe anyone else's copyright, trade mark or other rights, and is not unlawful. If someone brings a claim against us because of material you put into KopiDesk, you agree to cover the cost of dealing with it.

Reporting infringing material. If you believe material stored on KopiDesk infringes your rights, email support@nigeltannk.com with enough detail to identify the material and your rights in it. We will review it, and where appropriate remove or disable access to it and tell the business that uploaded it.

7b. Messaging your own customers

KopiDesk lets you message people through WhatsApp, Telegram and email. Those people are your contacts, not ours. You are the party responsible for having a lawful basis to contact them, for honouring the Personal Data Protection Act and the Do Not Call registry where they apply, for keeping to WhatsApp's and Telegram's own policies, and for stopping when someone asks you to.

We provide the tool and show you what a broadcast will cost and reach before it sends. We do not check whether you have consent to contact a given person, and cannot. If a regulator or a platform acts against you over messages you sent, that is between you and them.

8. Termination

A business may stop using KopiDesk at any time. We may suspend or terminate access if these Terms are breached or to protect the service. On termination, we delete or de-identify data in line with our Privacy Policy.

8a. The AI assistant, and who is responsible for what it says

KopiDesk can reply to your customers automatically using an AI assistant. This section explains the limits of that, because an automated reply is still a message from your business.

The assistant is a tool you operate, and its messages are yours. You decide whether to switch it on, what facts it may use, what it should aim for, what must be escalated to a person, and during which hours it replies. Everything it sends goes out under your business name, to your customers, on your number. As between you and NexKoins, those messages are your communications and you are responsible for them.

AI output is not guaranteed to be correct. The assistant is instructed to answer only from the facts you provide and to hand over to a person when it cannot, and we work to keep it doing so. Even so, AI systems can misunderstand a question, combine facts in a way you did not intend, or state something inaccurately. We do not warrant that any reply will be accurate, complete, suitable, or free from error, and you should not rely on it as though it were checked by a person.

What you must do. Keep the facts you give it accurate and current. Review what it is sending. Tell it to escalate anything where a wrong answer would matter. Do not use it to give medical, legal or financial advice, to make representations you cannot stand behind, or where a mistake could cause harm. Make clear to your customers, in a way suited to your business, that replies may be automated.

Liability and indemnity. To the maximum extent permitted by law, NexKoins Pte Ltd is not liable for any loss arising from what the assistant said or failed to say, including a quoted price, an availability, a commitment, or advice it should not have given. If a third party brings a claim against us arising from messages sent from your business through KopiDesk, you agree to indemnify us against that claim and the reasonable cost of dealing with it.

Nothing in this section limits liability that cannot be limited by law, or excuses us from acting in good faith. If we are told the assistant is behaving incorrectly, we will look into it.

9. Disclaimers

KopiDesk is provided "as is" and "as available", without warranties of any kind, whether express or implied, to the fullest extent permitted by law.

10. Limitation of liability

To the maximum extent permitted by law, NexKoins Pte Ltd will not be liable for any indirect, incidental, or consequential damages, or for loss of data, profits, or business, arising from use of KopiDesk. Our total liability for any claim is limited to the amount paid for the service in the three months before the claim.

11. Governing law

These Terms are governed by the laws of Singapore, and the courts of Singapore have exclusive jurisdiction over any dispute.

12. Changes

We may update these Terms from time to time. Continued use of KopiDesk after changes take effect constitutes acceptance of the updated Terms.
